Terms of sale
These terms apply when you buy a HouseGRC licence. HouseGRC is made by Justin White, a sole proprietor in New Brunswick, Canada ("we", "us").
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the merchant of record for all our orders. Paddle provides all customer service inquiries about payments and handles returns.
So there are two parts to a purchase:
- The purchase itself is between you and Paddle, under Paddle's buyer terms: payment, sales tax, receipts and invoices, refunds and payment disputes.
- Your licence to use HouseGRC is from us, under the HouseGRC End User Licence Agreement (the "licence agreement").
These terms explain what we commit to and how the two fit together.
1. Business customers only
HouseGRC is sold only for business and professional use: to companies, public bodies and other organisations, and to individuals, such as consultants and contractors, who buy it for their trade or profession. It is not sold to consumers for personal, family or household use. By buying, you confirm that you are buying for business or professional purposes and, if you buy for an organisation, that you are authorised to bind it to these terms. "You" means that organisation, or you as an individual buying for your trade or profession.
2. Agreeing to these terms
You accept these terms and the licence agreement by ticking the box on the pricing page before checkout, or by accepting a quotation or paying an invoice that refers to them. Checkout does not start until the box is ticked. We record which version of these terms you accepted and when, and the licence email confirms it. Installing or using HouseGRC under a licence you bought also means you accept the licence agreement.
The version in force when you buy applies to that purchase. If we change these terms, the change applies only to later purchases, and we post the new version here with a new version date.
Terms in your purchase order, supplier portal, vendor registration or any other document of yours do not apply, even if we or Paddle accept, sign or acknowledge that document, unless we agree to them in a separate written document, signed by us, that names them and says they replace these terms. A purchase order is accepted only to identify the plan, the number of users and the price.
3. What you buy
A licence key that lets you run one production installation of HouseGRC, and one separate test or staging copy, with up to the number of users in your plan, for one year from the date of purchase, including every update released during that year, as described in the licence agreement. After the year ends you keep the right to use the versions released while your licence was active.

A user is a person with an active account that can sign in to the installation, as the licence agreement explains. The licence key states who the licence is for, the plan, the number of users and the date the year ends.
HouseGRC runs on servers that you provide and control. You are responsible for them, for installing and updating HouseGRC, and for backing up your data; we do not host HouseGRC and never receive the data you put in it.
4. Prices and taxes
Prices on this website are in Canadian dollars (CAD) and do not include taxes. Paddle charges them in Canadian dollars wherever you are; if your card or account is in another currency, your bank or payment provider converts the charge at its own rate and may add its own fee. A quotation states its own price and currency. At checkout Paddle works out any sales tax, VAT or GST that applies where you are, adds it to the price, and issues your receipt or invoice. If you give a valid business tax number, Paddle applies any exemption or reverse charge it allows.
We may change prices for new purchases and renewals; a change never affects a licence you have already paid for. If a price is shown in obvious error, we may cancel the purchase and have it refunded, in which case the licence ends.
5. Free trial
You can use HouseGRC with every feature for 30 days without buying anything, with up to 5 users. The trial is for evaluation, so that you can decide whether HouseGRC meets your needs before you buy. When it ends, HouseGRC becomes read-only until you add a licence; your records stay available to view and export. It is provided free of charge, as is, and without support commitments.
6. Payment and invoices
You pay through Paddle's checkout, with a card or another payment method Paddle offers where you are. Neither we nor this website see or store your card or bank details.
For Business and Enterprise plans we can arrange a quotation and an invoice with payment terms, issued by Paddle: ask [email protected]. We may issue a licence key before an invoice is paid; if it is not paid when due, we may end that licence after giving you 14 days' notice by email. For a copy of a receipt or invoice, use the link in Paddle's email or ask [email protected].
7. Delivery
There is nothing to ship: the licence key is delivered electronically. It is shown on screen as soon as the payment succeeds, can be downloaded there as a file, and is emailed to the address you gave at checkout. Delivery is complete when the key is shown on screen or sent by email, whichever happens first. Paddle emails you a receipt. If you lose your key, use Email me my licence key on the support page, or email [email protected].
8. Renewal
Licences do not renew automatically and nobody will charge you again without a new purchase. To renew, buy a new licence before or after your current one ends.
9. Refunds
Refunds are covered by our refund policy, which is part of these terms: you can ask Paddle for a refund within 14 days of your purchase under Paddle's refund policy, and we have a purchase refunded in full in the cases the refund policy lists, such as a duplicate charge or a licence key that never reached you. When a purchase is refunded, its licence ends, including any right to keep using earlier versions, as the refund policy explains.
10. Payment disputes and chargebacks
Paddle handles payment disputes and chargebacks. If something is wrong with a purchase, please email us or Paddle before you dispute the payment with your card issuer; it is usually quicker. If a payment is reversed or charged back, the licence ends as if the purchase had been refunded, and we may give Paddle the records of the purchase, of the key's delivery and of your acceptance of these terms. If a dispute is decided in Paddle's favour, the licence is restored.
11. Orders that may be refused
We or Paddle may refuse or cancel any order, and refund anything you paid for it, if we reasonably suspect fraud or misuse, if the buyer is not a business customer, or if the sale would break the law, including sanctions and export control law. You confirm that selling a licence to you is not prohibited by the sanctions or export control laws of Canada or of any country that applies to you, and that you are not named on, or owned or controlled by anyone named on, a Canadian sanctions list.
12. Support
Support for HouseGRC is by email at [email protected], with reasonable efforts and without guaranteed response times. Every plan gets the same support. Paddle answers questions about payments, receipts and refunds.
13. Liability
Our warranty and liability are limited as set out in the licence agreement (sections 12 and 13), and those limits apply to the purchase as well as to the software. Nothing in these terms limits liability that cannot be limited by law.
14. Notices and electronic communications
You agree that these terms are made electronically, that ticking the box is as binding as a signature, and that we may send you notices, licence keys and other communications by email to the address you bought with or gave us. Send notices to us by email to [email protected]. A notice by email is given when it is sent, unless the sender receives a message that it was not delivered.
15. Governing law and courts
These terms, your licence, and any dispute between you and us arising out of or relating to them, are governed by the laws of the Province of New Brunswick and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of New Brunswick have exclusive jurisdiction over any such dispute, and you and we submit to them. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Your contract with Paddle for the purchase is governed by Paddle's buyer terms.
16. General
Paddle's buyer terms govern the purchase transaction between you and Paddle; these terms and the licence agreement govern your licence and everything else between you and us. If these terms conflict with the licence agreement about price, delivery, renewal or refunds, these terms prevail; on anything else, the licence agreement prevails. A quotation we arrange prevails over both only for the price, number of users and licence period it states.
If a court finds part of these terms unenforceable, that part is enforced as far as the law allows and the rest remains in effect. A failure or delay in enforcing a term is not a waiver of it. You may not assign a licence except as the licence agreement allows; we may assign these terms to a successor to the HouseGRC business. We are not responsible for a delay or failure caused by events beyond our reasonable control.
If, despite section 1, a consumer protection law applies to your purchase, nothing in these terms takes away a right under it that cannot be waived.
